These terms govern your use of the MemoryWell website and, where you become a customer, the MemoryWell service. By using the site you agree to these terms. Your paid service is also governed by the specific agreement we sign with you, which controls if there’s any conflict.
What MemoryWell is — and isn’t
MemoryWell provides managed AI workflows that evaluate documents and draft work for builders. It is a decision-support tool, not a decision-maker. Critically:
- The system drafts, flags, and prepares; it does not send, post, sign, or pay on its own.
- A human on your side approves every financial, measurement, and legal action.
- Outputs — including flagged discrepancies and cost figures — are recommendations you must review. You are responsible for the final decisions you make and the actions you take.
Your responsibilities
- Provide accurate inputs (takeoffs, bids, invoices) — the quality of the evaluation depends on them.
- Review outputs before acting, and don’t treat a recommendation as a guarantee.
- Use the service lawfully and don’t attempt to disrupt or reverse-engineer it.
- Keep your account credentials and access to your private box secure.
No professional advice
MemoryWell is not a licensed estimator, accountant, attorney, or surveyor, and its outputs are not professional, legal, financial, or engineering advice. Use professional judgment and, where appropriate, licensed professionals for final decisions.
Fees
Service fees, billing terms, and any guarantee (such as our 60-day prove-it guarantee) are set out in your service agreement. Website pricing is provided for information and may change.
Intellectual property
We own the MemoryWell software, workflows, and brand. You own your data and your documents. Where a separate “own-it” license is purchased, its terms govern what you receive.
Disclaimers and limitation of liability
The website and service are provided “as is,” without warranties of any kind to the fullest extent permitted by law. To the extent permitted by law, MemoryWell is not liable for indirect, incidental, or consequential damages, and our total liability relating to the service is limited as described in your service agreement. Because you review and approve every action, decisions made on flagged or recommended outputs remain yours.
Changes
We may update these terms; the “last updated” date reflects the current version. Continued use of the site after changes means you accept them.
